EquiLife TERMS OF USE

Please read this Agreement carefully before accessing or using EquiLife, Inc’s Services.  By accessing or using the Services in any manner, including, but not limited to, visiting or browsing the Site, downloading any Apps, registering an account, or contributing content or other materials to the Services, you expressly understand, acknowledge and agree to be bound by this Agreement. You are only authorized to use the Services if you agree to abide by all applicable laws and to these Terms of Use.

1. TERMS OF USE

1.1 Scope. The following terms and conditions govern all use of our website at equi.life (the “Site”), our mobile/tablet applications such as EquiLife Coaching Connect or Ayubowan (“Apps”), our loyalty rewards or membership programs, our Ambassador program, and any use of other websites, pages, features, or content owned and operated by EquiLife, Inc that direct to this Terms of Use (collectively, including the Site and Apps, the “Services”).

The Services are owned and operated by EquiLife, Inc (“we”, “us,” or “our”) and are offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, EquiLife, Inc Privacy Policy) and procedures that may be published from time to time on the Services by EquiLife, Inc (collectively, the “Agreement”). 

1.2 Acceptance of Terms and Age Restriction. If these terms and conditions are considered an offer by EquiLife, Inc, acceptance is expressly limited to these terms. The Services are available only to individuals who are at least 16 years old. 

If you do not feel comfortable with any part of this Agreement, please discontinue use of the Services or engaging with EquiLife, Inc immediately.

2. UPDATES TO THE TERMS

EquiLife, Inc reserves the right, in its sole discretion, to modify or replace any part of this Agreement, including the Privacy Policy, at any time. It is your responsibility to check this Agreement periodically for changes. If we modify material terms to this Agreement, such modification will be effective after we send you notice of the amended Agreement.  Such notice will be in our sole discretion, and the manner of notification may include, for example, via email, posted notice on the Services, or other manner. Your continued use of or access to the Services following the posting of any changes to this Agreement constitutes acceptance of the modified terms. EquiLife, Inc may also, in the future, offer new services and/or features through the Services (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

3. USE OF OUR SERVICES

3.1 Representations. When you use our Services, you agree to the processing of the information and details and you state that all information and details provided are true and correspond to reality. You represent and warrant that you are at least 16 years old or visiting the Services under the supervision of a parent or guardian.

Subject to the terms and conditions of this Agreement, EquiLife, Inc hereby grants you a limited, revocable, non-transferable and non-exclusive license to access and use the Services by displaying them on your internet browser, for our Site, or on your mobile devices, for our Apps, only for the purpose of shopping for personal items such as premium organic wellness supplements, at-home lab testing, health coaching, or other products and services sold on the Services and not for any commercial use or use on behalf of any third party, except as explicitly permitted by EquiLife, Inc in advance. Any breach of this Agreement shall result in the immediate revocation of the license granted in this section without notice to you.

3.2 Limitations on Use.  Except as permitted in the paragraph above, you may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile or otherwise exploit the Services or any portion of them unless expressly permitted by EquiLife, Inc in writing. You may not make any commercial use of any of the information provided on the Services or make any use of the Services for the benefit of another business unless explicitly permitted by EquiLife, Inc in advance. EquiLife, Inc reserves the right to refuse service, terminate accounts, and/or cancel orders in its discretion, including, without limitation, if we believe that customer conduct violates applicable law or is harmful to our interests.

You shall not upload to, distribute, or otherwise publish through the Services any content, information, or other material that: (a) violates or infringes the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person; (b) is libelous, threatening, defamatory, obscene, indecent, pornographic, or could give rise to any civil or criminal liability under local or international law; or (c) includes any bugs, logic bombs, viruses, worms, trap doors, Trojan horses or other code, material or properties which are malicious or technologically harmful. EquiLife, Inc may assign you a password and account identification to enable you to access and use certain portions of the Services.

3.3 Prohibition on Transmitting Sensitive Information. When communicating with us by email or through forms on our Services, we ask that you please do not send us any sensitive information pertaining to yourself, medical prescriptions, or any other information relating to diagnosis or medical treatment of any health problems. 

EquiLife, Inc does not collect or store sensitive information or special categories of information.  Instead, always consult with a licensed medical healthcare professional regarding any medical concerns or treatment. Never disregard professional medical advice or delay seeking medical treatment because of something you have read on or accessed through our Services.

3.4  Prohibited Behavior. As a condition of accessing or using our Services, you agree not to:

        • Use the Services for any unlawful purposes, or that could violate any applicable federal, state, local, or international law or regulation;
        • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm us or other persons using the Services or expose them to liability;
        • Use the Services in any manner that could disable, overburden, damage, or impair the Site or Apps or any other party’s use of the Services;
        • Use any robot, spider or other automated device, process, or means to access the Service for any purpose;
        • Use the Services to distribute unsolicited promotional or commercial content, or solicit other persons using the Services for commercial purposes;

Otherwise attempt to interfere with the proper working of the Service.

4. TERMINATION

EquiLife, Inc may terminate your account or access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement, you may do so within the dashboard of the site or by contacting us as described in the “Contact Us” section below. For more information, please also see our Privacy Policy.  All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

5. PRIVACY POLICY

Your privacy is respected and is critically important to us at EquiLife, Inc.  When you use our Services, including to fill out forms in relation to our premium organic wellness supplements, at-home lab testing, and health coaching, or place orders or request other materials or services through the Services, you agree to provide us with your email address, postal address and/or other requested details truthfully and exactly.

You also agree that we may use this information to contact you in the context of your order if necessary.  To fully understand how we collect and use your personal information, including in relation to our Services, how to unsubscribe from non-transactions communications, and our use of website cookies and similar technologies, please see our EquiLife, Inc Privacy Policy.

6. MEDICAL DISCLAIMER

The material (“Content”) provided and taught by EquiLife, Inc is educational and informational in nature and is provided only as general information and does not constitute medical or psychological practice, advice, opinion, diagnosis, treatment or guarantee.  The Content does not create any doctor-patient, therapist-patient or any other professional relationship and is not a substitute for medical diagnosis, advice, or treatment, or other professional healthcare. For the avoidance of doubt, EquiLife, Inc cannot and does not provide specific treatment advice to anyone.  If you have questions about this, please contact support@equi.life.

You are responsible for your own health care decision-making and should obtain necessary consultations with appropriately licensed health care professionals such as physicians and psychologists.  Even if those providing information via the Services display professional licensure or other credentials in the healing arts, or cite clinical trials or other medical literature, they are limited to providing information and education, and are not providing any clinical or medical service via the Content. The Content is not comprehensive and does not include all the potential information regarding the subject matter, but is merely intended to serve as one resource for general and educational purposes.

If you have or suspect you may have a medical or psychological problem, you should consult your medical doctor or psychologist or appropriate healthcare provider.  If you think you have a medical emergency, call 911 immediately. Never disregard or delay medical advice received from your licensed healthcare provider based on information in the Content. Always consult your physician, psychologist, or licensed healthcare provider before seeking any new treatment, or before you alter, suspend, or initiate any change in your medical or psychological treatment, medication or herbal supplement, routine, or procedure.

7. ERRORS

While EquiLife, Inc strives to provide accurate product and pricing information, pricing or typographical errors may occur.  In the event that an item is listed at an incorrect price or with incorrect information due to an error in pricing or product information, EquiLife, Inc shall have the right, at our sole discretion, to refuse or cancel any orders placed for that item. In the event that an item is mis-priced, we may, at our discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

8. REVIEWS, COMMENTS AND SUBMISSIONS FROM CONTRIBUTORS

8.1  Submissions to the Services.  Except as otherwise provided elsewhere in this Agreement or on the Services, anything that you submit or post to the Services and/or provide to EquiLife, Inc, including, without limitation, picture, video, ideas, know-how, techniques, questions, reviews, comments, and suggestions (collectively, “Submissions”) is and will be treated as non-confidential and nonproprietary, and by submitting or posting, you agree to irrevocably license the entry and all IP rights related thereto (excluding the moral rights such as authorship right) to EquiLife, Inc without charge and EquiLife, Inc shall have the royalty-free, worldwide, perpetual, irrevocable, and transferable right to use, copy, distribute, display, publish, perform, sell, lease, transmit, adapt, create derivative works from such Submissions by any means and in any form, and to translate, modify, reverse-engineer, disassemble, or decompile such Submissions. All Submissions shall automatically become the sole and exclusive property of EquiLife, Inc and shall not be returned to you and you agree not to raise any dispute in connection with any use of the entry by EquiLife, Inc in the future.

You warrant that your Submissions, in whole or in part, are clear and free of any IP right infringement, disputes or third party claims. EquiLife, Inc assumes no liability for any misuse of copyright or any other rights of third parties by you. You undertake to defense for and indemnify EquiLife, Inc against any losses caused due to the use of the entries for any purposes.

In addition to the rights applicable to any Submission, when you post comments or reviews to the Site or Apps, you also grant EquiLife, Inc the right to use the name that you submit with any review, comment, or other content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments, and other content that you post on this site and that use of your reviews, comments, or other content by EquiLife, Inc will not infringe upon or violate the rights of any third party. You shall not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead EquiLife, Inc or third parties as to the origin of any Submissions or content. EquiLife, Inc may but shall not be obligated to remove or edit any Submissions (including comments or reviews) for any reason.

8.2.  Right to Refuse or Remove Content. Without limiting any of those representations or warranties, EquiLife, Inc has the right (though not the obligation) to, in our sole discretion, (i) refuse or remove any content that, in our reasonable opinion, violates any EquiLife, Inc policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Services to any individual or entity for any reason. EquiLife, Inc will have no obligation to provide a refund of any amounts previously paid.

9. RESPONSIBILITY OF WEBSITE VISITORS

9.1  No Endorsement of Materials. EquiLife, Inc has not reviewed, and cannot review, all of the material, including computer software, posted to the Services, and cannot therefore be responsible for that material’s content, use or effects. By operating the Services, EquiLife, Inc does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful.

9.2  Visitors’ Responsibility for Security Precautions. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Services may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Services may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. EquiLife, Inc disclaims any responsibility for any harm resulting from the use by visitors of the Services, or from any downloading by those visitors of content there posted.

9.3  Visitors Acknowledgment of No Medical Advice. Visitors further acknowledge understanding that:

All articles, images, infographics, videos, podcasts, other information, and resources published by EquiLife, Inc are based on the individual author’s opinion and are meant to motivate readers to make their own nutrition and health decisions after consulting with their health care provider. Authors are not acting as doctors, lawyers or medical professionals on behalf of EquiLife, Inc, and all readers should consult a doctor before making any health changes, especially any changes related to a specific diagnosis or condition. No information on this site should be relied upon to determine diet, make a medical diagnosis or determine a treatment for a medical condition. All information contained in individual e-books is the sole opinion of the author and copyright is owned by each author.

Any statements or claims about the possible health benefits conferred by any foods or supplements within these ebooks have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure or prevent any disease.

Some of the links in text, print or images on this site or within individual e-books may be affiliate links. In this case, the author will receive a small commission if something is purchased through these links.

10. EQUILIFE AMBASSADOR PROGRAM

Equilife offers an Ambassador Program that provides health and wellness practitioners, social media influencers, and others the opportunity to earn commissions on the sale of EquiLife products and offerings when someone makes a purchase using the Ambassador’s unique URL link. 11. EQUILIFE HEALTH SOLUTIONS PROGRAM

EquiLife offers a Health Solutions professional services program for certified health practitioners and strategic partners to sell EquiLife products and offerings at wholesale prices in-person, such as at their offices or other physical locations. Please note that approved Health Solutions Program participants will be automatically enrolled in the EquiLife Ambassador Program, providing the opportunity to receive commission payments for purchases made by individuals online using a unique URL, as described in Section 10 above. If a Health Solutions Program participant wishes to opt-out of enrollment in the Ambassador Program, they may do so at any time by requesting this via email to support@equi.life.

12. CONTENT POSTED ON OTHER WEBSITES

We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which equi.life links, and that link to EquiLife, Inc. EquiLife, Inc does not have any control over those non-equi.life websites and webpages, and is not responsible for their contents or their use. By linking to an external website or webpage, EquiLife, Inc does not represent or imply that it endorses such website or webpage. EquiLife, Inc disclaims any responsibility for any harm resulting from your use of non-EquiLife, Inc websites and webpages.

13. COPYRIGHT INFRINGEMENT AND DMCA POLICY

As EquiLife, Inc asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by EquiLife, Inc violates your copyright, you are encouraged to notify EquiLife, Inc in accordance with the Digital Millennium Copyright Act.  To do so, please send an email to privacy@equi.life with the subject “DMCA Notice”, and include the following:

        • Identify the copyrighted work that you claim has been infringed;
        • Identify the material or link on our Services that you claim is infringing your copyrighted work;
        • Provide your full legal name, company affiliation, mailing address, telephone number, and email address; and
        • Include in the body of your notice the following statement, followed by your electronic or physical signature: ““I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of, the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”

 

EquiLife, Inc will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. EquiLife, Inc will terminate a visitor’s access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of EquiLife, Inc or others. In the case of such termination, EquiLife, Inc will have no obligation to provide a refund of any amounts previously paid to EquiLife, Inc.

14. INTELLECTUAL PROPERTY

This Agreement does not transfer from EquiLife, Inc to you any EquiLife, Inc or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with EquiLife, Inc. EquiLife, Inc, equi.life, the EquiLife logo, and all other trademarks, service marks, graphics and logos used in connection with equi.life, or the Website are trademarks or registered trademarks of EquiLife, Inc or equi.life. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any EquiLife, Inc or third-party trademarks.

Content on the Services is provided to you as is for your information only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of EquiLife, Inc or the respective owners or licensors.  We reserve all rights not expressly granted in and to the content.  You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services (“Feedback”), provided by you to us are non-confidential and shall become the sole property of EquiLife, Inc. You grant EquiLife, Inc. permission to use, implement, copy, publish and/or reproduce Feedback, without limitation, fee and royalty free.

You agree to not engage in the use, copying, or distribution of any of Services content other than as expressly permitted herein.  You agree not to circumvent, disable or otherwise interfere with security-related features of the website or features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.

15. DISCLAIMER OF WARRANTIES

15.1  Services Disclaimer. The Services are provided “as is.” EquiLife, Inc and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither EquiLife, Inc nor its suppliers and licensors, makes any warranty that the Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website and Services at your own discretion and risk.

15.2  Goods and Services Disclaimer.  You understand and acknowledge by using the Services that the goods are in conformity with the transaction or intended purchase if they: (i) comply with the description given by us and possess the qualities that we have presented on the Services; (ii) are fit for the purposes for which goods of this kind are normally used; (iii) show the quality and performance which are normal in goods of the same type and which can reasonably be expected.  As noted above, to the extent permitted by law, we exclude all warranties and conditions (whether express or implied), except those that may not be excluded legitimately.

16. GENERAL REPRESENTATION AND WARRANTY

16.1  General Representation and Warranty. You represent and warrant that (i) your use of the Services will be in strict accordance with the EquiLife, Inc Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

16.2  Events Beyond Our Control.  We will not be liable for any non-compliance or delay in compliance with any of the obligations we assume under the Agreement or other contracts when caused by events that are beyond our reasonable control (“Force Majeure”). Force Majeure shall include any act, event, failure to exercise, omission or accident that is beyond our reasonable control, including, among others, the following:

        • Strike, lockout or other forms of protest.
        • Civil unrest, revolt, invasion, pandemic disease, terrorist attack or terrorist threat, war (declared or not) or threat or preparation for war.
        • Fire, explosion, storm, flood, earthquake, collapse, epidemic or any other natural disaster.
        • Inability to use trains, ships, aircraft, motorized transport or other means of transport, public or private.
        • Inability to use public or private telecommunication systems.
        • Acts, decrees, legislation, regulations or restrictions of any government or public authority.
        • Strike, failure or accident in maritime or river transport, postal transport or any other type of transport.
        • Delayed shipment or deliveries as a result of pandemic or other local, national or global events that impact the safe mailing of packages.

It shall be understood that our obligations deriving from the Agreement or other contracts are suspended during the period in which Force Majeure remains in effect and we will be given an extension of the period in which to fulfil these obligations by an amount of time equal to the time that the situation of Force Majeure lasted. We will provide all reasonable resources to end the situation of Force Majeure or to find a solution that enables us to fulfil our obligations by virtue of the Agreement or other contracts despite the situation of Force Majeure.

17. LIMITATION OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY SINCE IT LIMITS THE LIABILITY OF EQUILIFE, Inc TO YOU.

        • By USING THE SERVICES PROVIDED BY EQUILIFE, Inc, YOU HEREBY ACKNOWLEDGE THAT WE ARE PROVIDING THE SERVICES, INCLUDING THE SITE AND ANY MOBILE APPS, ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, EQUILIFE, Inc EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, TITLE, ACCURACY, COMPLETENESS, UNINTERRUPTED OR ERROR-FREE SERVICE, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE.
        • WE MAKE NO PROMISES WITH RESPECT TO, AND EXPRESSLY DISCLAIM ALL LIABILITY FOR: (1) PRODUCTS, SERVICES, INFORMATION, PROGRAMMING, AND/OR ANYTHING ELSE PROVIDED BY A THIRD PARTY THAT IS ACCESSIBLE TO YOU THROUGH THE SERVICES; OR (2) THE QUALITY OR CONDUCT OF ANY THIRD PARTY YOU ENCOUNTER IN CONNECTION WITH YOUR USE OF THE SERVICES.
        • YOU AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUILIFE, Inc WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY. WITHOUT LIMITING THE FOREGOING, YOU AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUILIFE, Inc AND ITS AFFILIATED ENTITIES (IF ANY) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF DATA (EVEN IF FORESEEABLE) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.
        • YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO CEASE USE OF THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSIONS OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. AS A RESULT, THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

18. INDEMNIFICATION

You agree to release, indemnify, and defend EquiLife, Inc and any subsidiaries, affiliates, related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each from all third-party claims and costs (including reasonable attorneys’ fees) arising out of or related to: (1) your use of the Services; (2) your conduct or interactions with other users of the Services; (3) your breach of this Agreement. We will notify you promptly of any such claim and will provide you (at your expense) with reasonable assistance in defending the claim. You will allow us to participate in the defense and will not settle any such claim without our prior written consent. We reserve the right, at our own expense, to assume the exclusive defense of any matter otherwise subject to indemnification by you. In that event, you will have no further obligation to defend us in that matter.

19. MISCELLANEOUS

19.1  Entire Agreement. This Agreement constitutes the entire agreement between EquiLife, Inc and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of EquiLife, Inc, or by the posting by EquiLife, Inc of a revised version.

19.2  Applicable Law. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Services will be governed by the laws of the state of Kentucky, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Warren County, Kentucky.

19.3  Agreement to Binding Arbitration. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Warren, Kentucky, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys’ fees.

19.4  Severability. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.

19.5  Assignment. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; EquiLife, Inc may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

21. BUSINESS TRANSFERS

If EquiLife, Inc, or substantially all of its assets, were acquired, or in the unlikely event that EquiLife, Inc goes out of business or enters bankruptcy, user information would be one of the assets that is transferred or acquired by a third party. You acknowledge that such transfers may occur, and that any acquirer of EquiLife, Inc may continue to use your personal information as set forth in this policy.

Mobile Message Service Terms and Conditions

The EquiLife, Inc. mobile message service (the "Service") is operated by EquiLife, Inc. (“EquiLife ”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message and data rates may apply.

Text messages may be sent using an automatic telephone dialing system or other technology. Your consent to receive autodialed marketing text messages is not required as a condition of purchasing any goods or services. If you have opted in, the Service provides updates, alerts, information, promotions, specials, and other marketing offers (e.g., cart reminders) from EquiLife via text messages through your wireless provider to the mobile number you provided. Message frequency varies. Text the single keyword command STOP to +1 (855) 572-8913 to cancel at any time. You'll receive a one-time opt-out confirmation text message. If you have subscribed to other EquiLife mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. You agree to maintain accurate, complete, and up-to-date information with us related to your receipt of messages. 

You agree to indemnify, defend, and hold us harmless from any third-party claims, liability, damages or costs arising from your use of the Service or from you providing us with a phone number that is not your own.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
